Article 1. Definitions

  • Platform: Refurbished.store International B.V., located at Utrechtseweg 82, 3702AD Zeist, Netherlands, registered under Chamber of Commerce number 93398794.
  • Seller: Any professional seller who registers and offers products via the Platform.
  • Consumer: The end-user who purchases products through the Platform.


Article 2. General

  • These General Seller Terms and Conditions apply to every Seller using the Platform to offer products.
  • Refurbished.store acts as an intermediary platform between Seller and Consumer and is not the seller of the products offered.
  • By placing an order, the Consumer agrees to the General Terms of Use and enters into a purchase agreement with the Seller.
  • By selling products via the Platform, the Seller agrees to these General Seller Terms and Conditions, which are part of the agreement between the Platform and the Seller.


Article 3. Seller's Obligations

  • The Seller is responsible for providing all product information, including prices, product condition, and availability.
  • The Seller is responsible for handling the sale, including invoicing and shipping to the Consumer.
  • The Seller guarantees that the products comply with European legislation and the quality requirements set by the Platform.
  • The Seller is responsible for handling questions from the Consumer with whom the Seller has entered into a purchase agreement via the Platform.


Article 4. Sales Process

  • The Platform provides an API for the integration of stock, product, and pricing information.
  • Payments to the Seller are handled via a Payment Service Provider (PSP), under the terms agreed in the agreement with the PSP.
  • The Seller commits to transmitting order data to the Platform within 24 hours (working hours) after an order is placed and to ship the order to the Consumer. If the Seller fails to do so, they will receive a warning.
  • If the Seller has not shipped the order within 48 working hours after the Consumer has placed their order, the order will be cancelled and refunded to the Consumer via the PSP.
  • If an order is cancelled by the Consumer, by the Platform, by the Seller, returned by the Consumer, or revoked by the Consumer, the Platform will charge the commission as agreed between the Platform and Seller separately to the Seller.


Article 5. Rights and Obligations of the Platform

  • The Platform may suspend or remove the Seller's offerings at any time for breach of the agreement.
  • The Platform is not liable for the products sold by the Sellers.
  • The Platform reserves the right to collect a commission on transactions that occur via the Platform.


Article 6. Warranties and Returns

  • The Seller is responsible for handling returns and warranty claims.
  • Products must be delivered with a minimum warranty period of 24 months.
  • The Seller must provide return labels and replace or reimburse defective or incorrectly delivered products to the Consumer.
  • The Seller is responsible for refunding the amount paid by the Consumer, which is the amount invoiced by the Seller, in cases such as revocation, cancellation, or dispute within a warranty claim.
  • The Seller is responsible for handling warranty and return inquiries from the Consumer with whom the Seller has entered into a purchase agreement via the Platform.


Article 7. Disputes and Applicable Law

  • In the event of disputes between the Platform and the Seller, Dutch law applies.
  • Disputes should preferably be resolved amicably; if necessary, a formal procedure will be initiated at the competent Dutch court.


Article 8. Modification of Terms

The Platform may amend these terms from time to time. It is the Seller's responsibility to consult the most recent version of these terms.


Article 9. Joint Controllership

This article applies to all activities where the Platform and Seller and any subcontractors, as joint parties, process personal data together.


Description of Processing


  • Purpose and means:
    • The parties have jointly determined the means and purposes of the processing activities, as detailed below.
  • Processing Activities:
    • The processing includes customer acquisition, management of customer data, order shipment, invoicing, and ensuring the agreed warranty conditions.
  • Involved Data:
    • The personal data processed includes basic personnel data, contact details, contract data, customer history, and invoicing and payment data.


Responsibilities

Both parties ensure compliance with legal regulations regarding the legitimacy of their processing activities. However, for the jointly conducted processing, both parties are equally responsible.


Termination

Either party may terminate the contractual cooperation extraordinarily in case of serious breaches of data protection regulations or the provisions of this agreement.


Rights of Data Subjects

Data Controller 1 (Refurbished.store) provides the mandatory information according to Arts. 13 and 14 GDPR to the data subjects and handles requests from data subjects in accordance with Arts. 15 to 22 GDPR.


Data Transfer and Confidentiality

Both parties ensure that all persons who have access to the data are committed to confidentiality and that all data protection measures of the other party are treated confidentially.


Liability

Both parties are jointly and severally liable to the data subject for damage caused by non-compliant processing. Internal arrangements regarding the distribution of liability remain reserved for recourse among the parties.


Article 10. Technical Integration and Data Exchange


Connection Setup

The Seller and Refurbished.store International B.V. commit to establishing a connection for the exchange of stock, product, and price data via an API, a custom connection, or a manual connection.


If the Seller does not have the means to implement an API connection, they can use the services of Refurbished.store International B.V. at an hourly rate of €75, excluding VAT.


If the Seller does not wish to use the API connection at all, the Seller may use Connect, a user interface for Sellers on the Platform for manual processing of order, stock, product, and price data.


Connectivity Obligations

Both parties are obliged to ensure that this connection remains active and functional. The Seller is required to send the necessary order data digitally from and to Refurbished.store International B.V. according to the agreed order registration flow.


Data Exchange

The Seller is required to provide the following attributes of their products in a product feed:

offer_guid: A unique identifier of the offer.

offer_id: A unique identification code for the offer.

product_id: A product identification code.

product_title: The title of the product.

condition: The state of the product (e.g., 'refurbished' or 'new').

grade: The quality grade of the product. Further specifications about the gradations are described separately.

price: The selling price on the platform.

margin: A boolean indicating whether the product is purchased without VAT.

stock: The available inventory.

ean: The EAN number of the product.


Use of Customer Data

Sellers may not use customer data for marketing purposes or the collection of reviews. Customer data provided by Refurbished.store International B.V. may only be used for the execution of the purchase agreement and the processing of orders, in accordance with the privacy conditions (data processing) of the platform.


Responsibilities and Compliance

The Seller guarantees the accuracy and completeness of the data provided. Refurbished.store International B.V. can conduct audits to verify the accuracy of the data provided and requires that the Seller fully cooperates during such checks.


Article 11. Quality and Warranty of Refurbished Products


Quality Guarantee

All refurbished products such as smartphones, tablets, and laptops, like iPhones, iPads, and MacBooks offered by the Seller are of the highest quality. The Platform only works with carefully selected Sellers. Each refurbished product is technically inspected and is 100% functional for use.


Warranty Period

The Seller offers the legal minimum requirement of two years of warranty. The Platform provides a free third year of warranty at the expense of the Platform, which is borne to ensure consumer confidence and satisfaction.


Product Grades

A-grade (As good as new):

Products without or with very light signs of use. Technically 100% functional, no visible to very light marks on the screen and housing.

B-grade (Lightly used):

Products with light signs of use. Technically 100% functional, light marks on the screen and visible signs of use on the housing.

C-grade (Visibly used):

Products with clear signs of use. Technically 100% functional, multiple clear and deeper marks on the screen and multiple visible signs of use on the housing.


Compliance and Enforcement

Refurbished.store International B.V. reserves the right to regularly check the quality of the products and to exclude partners who do not meet the set requirements from the platform.

In case of violation of the provisions regarding the use of customer data, Refurbished.store International B.V. has the right to impose sanctions and/or immediately terminate the cooperation with the respective seller.


Article 12. Final Provisions

These General Seller Terms and Conditions constitute the entire agreement between the Platform and the Seller with respect to the subject matter hereof. The invalidity of any part of these terms does not affect the validity of the whole.
